The purpose of the annual member meeting is to hold an election for the position on the Board of Directors that is filled by Mr. Chittenden whose term expires this year. If you wish to nominate yourself or someone else for election, please complete the enclosed candidate nomination form. Nominations will also be taken from the floor at the meeting. Please plan to attend if you intend to stand for election.
In addition, amendments to the Declaration of Covenants, Conditions, and Restrictions may be considered at the annual meeting. Please be advised that a majority of all homeowner lots are required to cast affirmative votes for the any amendment to the Covenants to be adopted. Members should submit proposed amendments to the Covenants to Tidewater Property Management no later than September 13 so that a proxy form may be provided for the collection of executed proxies.
Section 4.6 of the Association’s bylaws requires 30% of the members to attend this meeting (or submit a proxy) for any business to be conducted. If a quorum is not present at the annual meeting, the meeting may be adjourned and reconvene at an additional time at least 15 days after the date of the originally scheduled meeting. The reconvened annual meeting will be held immediately before the November Board of Directors’ meeting. At the reconvened meeting, the members present in person or by proxy will constitute a quorum in accordance with Md. Corp. and Assoc. Code § 5-206 and Section 4.7 of the bylaws of the Association, and the members present may take any action that could have been taken at the original meeting had a quorum been present.
Please make plans to attend this important meeting. If you cannot attend, please complete the proxy form that was mailed to you and return it to Tidewater Property Management, 3706 Crondall Lane, Suite 105 Owings Mills, MD 21117, no later than October 8, 2013.
The Board of Directors plans to post the proposed budget on the Association’s website (http://crescentatcherrylane.webs.com) before the annual meeting. If you would like a paper copy, please contact Tidewater Property Management at the number below. All members who attend and who desire to speak on the proposed budget may do so.
